GENERAL TERMS AND CONDITIONS OF SALE

Article 1 – Purpose
These General Terms and Conditions of Sale ("GTCS") govern the relationship between the service provider ("the Provider") and any professional ("the Client") regarding the agreed-upon services in the order form ("the Services").

Article 2 – Commitments
2.1 The Provider commits to perform the Services as outlined in the order form.
2.2 The Client agrees to cooperate with the Provider, providing necessary information and ensuring compliance with applicable laws.

Article 3 – Duration
The contract begins upon signing and lasts as stated in the order form. Automatic renewals must be fulfilled until the end of the term. Termination requires written notice. Early termination requires full payment of invoices due, with possible damages.

Article 4 – Price
Prices are listed in euros, excluding taxes. VAT is charged according to current regulations.

Article 5 – Payment
Payment is made based on the total amount including taxes, only considered complete after funds are received. Payments are typically made via bank transfer unless otherwise agreed.

Article 6 – Late Penalties
Any overdue amount results in penalties equal to three times the legal interest rate, starting the day after the due date. Additionally, the Client must pay a lump sum recovery fee.

Article 7 – Penalty Clause
If the Client fails to fulfill obligations after a formal notice, they must pay 10% of the due amount plus any legal costs and possible damages.

Article 8 – Force Majeure
Events beyond the Provider's control (e.g., strikes, natural disasters) that hinder service delivery are considered force majeure, suspending the contract.

Article 9 – Breach and Termination
Non-payment or other serious breaches by the Client allow the Provider to suspend services or terminate the contract without prior notice, retaining the right to payment and damages.

Article 10 – Intellectual Property
The Client has no intellectual property rights to the Services. Unauthorized use of the Provider's trademarks constitutes infringement.

Article 11 – Liability
The Provider is only liable for direct damages caused by its services, with liability limited to the value of the Services in question.

Article 12 – Warranty
The Client is responsible for ensuring all necessary rights and authorizations for materials provided to the Provider. The Client indemnifies the Provider against any third-party claims.

Article 13 – Governing Law and Disputes

The applicable law is French law. The terms are severable, meaning the invalidity of any clause does not affect the validity of others.

ALL DISPUTES regarding the interpretation or execution of these GTCS, and the termination of commercial relations between the parties, fall under the exclusive jurisdiction of the Paris courts (Commercial Court for merchants and Civil Court for non-commercial entities), even in the case of multiple defendants or third-party claims.
